1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you") and StaffHub360 ("Company," "we," "us," "our") governing your access to and use of the StaffHub360 platform, website, mobile applications, and desktop applications (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
2. The Service
StaffHub360 provides a cloud-based workforce management platform that includes attendance tracking, leave management, task management, payroll processing, team chat, AI-assisted automation, and related features.
We may modify, enhance, or discontinue features at our discretion. We will provide reasonable notice of material changes that adversely affect your use of the Service.
3. Accounts & Eligibility
3.1 Eligibility
You must be at least 18 years old and competent to enter into a contract under the Indian Contract Act, 1872. The Service is intended for businesses; personal or non-business use is prohibited.
3.2 Account Security
You are responsible for safeguarding your login credentials and for all activities under your account. Notify us immediately of any unauthorized access at info@staffhub360.com.
3.3 Accuracy of Information
You agree to provide accurate, current, and complete information during registration and to keep it updated.
4. Subscriptions & Billing
- Packages: the Service is offered in multiple packages (Free, Basic, Professional, Enterprise) with varying feature sets and limits. Specific commercial terms are agreed separately upon engagement.
- Free trials: trial periods are offered for new customers as displayed on our Packages page. At the end of the trial, you may continue to a paid package or revert to the Free package.
- Billing & payment: paid subscriptions are billed in advance per the agreed billing cycle. Payments are due upon receipt of invoice unless otherwise agreed.
- Taxes: all charges are exclusive of applicable Indian taxes (GST), which will be added to invoices as required by law.
- Late payment: overdue invoices may result in suspension of Service. We reserve the right to charge interest on overdue amounts at the maximum rate permitted by law.
- Refunds: subscription fees are non-refundable except as expressly stated in writing or required by applicable law.
- Changes to commercial terms: we may revise our packages or commercial terms with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
5. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful, fraudulent, or harmful purpose
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or commercially exploit the Service without our written consent
- Use the Service to transmit malicious code, spam, or unsolicited communications
- Attempt to gain unauthorized access to the Service, other accounts, or our infrastructure
- Upload content that infringes intellectual property rights or violates privacy
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service to compete with us or develop a competing product
- Exceed reasonable usage of the Service or circumvent technical limitations
6. Customer Data
Ownership: you retain all rights to data you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide the Service.
Responsibility: you are responsible for the accuracy, legality, and content of Customer Data and for obtaining all necessary consents from your employees and other data subjects.
Backup: while we maintain regular backups, you are responsible for maintaining your own copies of critical data.
Data return & deletion: upon termination, you may export your data within 30 days. After this period, we may delete Customer Data per our Privacy Policy.
7. Intellectual Property
The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by StaffHub360 or its licensors and is protected under Indian and international IP law.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted by implication or otherwise.
Feedback: any suggestions, ideas, or feedback you provide may be used by us without restriction or compensation.
8. Third-Party Services
The Service may integrate with or link to third-party services (e.g., payment processors, cloud providers, AI providers). Your use of those services is governed by their own terms. We are not responsible for the content, policies, or practices of third parties.
9. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAFFHUB360, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Indirect, incidental, special, consequential, or exemplary damages
- Loss of profits, revenue, data, goodwill, or business opportunity
- Damages resulting from your use or inability to use the Service
- Any matter beyond our reasonable control
Our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us during the twelve (12) months preceding the event giving rise to the claim, or INR 10,000, whichever is greater.
11. Indemnification
You agree to indemnify, defend, and hold harmless StaffHub360 and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; or (d) your violation of any law or third-party rights.
12. Termination
12.1 By You
You may cancel your subscription at any time from your account dashboard or by contacting us. Cancellation takes effect at the end of the current billing cycle.
12.2 By Us
We may suspend or terminate your access immediately, without notice, if you breach these Terms, fail to pay fees when due, or for any conduct we determine harmful to other users, us, or third parties.
12.3 Effect of Termination
Upon termination, your right to access the Service ceases. Sections 6 (Customer Data), 7 (Intellectual Property), 9-11 (Warranty, Liability, Indemnification), 13 (Governing Law), and 14 (General) survive termination.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles. The Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 apply where relevant.
Jurisdiction: the courts of Rajkot, Gujarat, India shall have exclusive jurisdiction over any disputes arising under or relating to these Terms.
Arbitration: at our discretion, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator, conducted in English, seated in Rajkot, Gujarat.
14. General Provisions
- Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Amendments: we may amend these Terms with notice. Continued use after the effective date constitutes acceptance.
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
- Waiver: failure to enforce any provision is not a waiver of that or any other provision.
- Assignment: you may not assign these Terms without our written consent. We may assign our rights and obligations freely.
- Force majeure: we are not liable for delays or failures resulting from causes beyond our reasonable control.
- Notices: notices to us must be sent to the email address below. We may notify you via the email associated with your account or in-Service notifications.
